These Terms of Service ("Terms") form a binding agreement between you ("you" or the "user") and LeadsGPS LLC ("LeadsGPS", "we", "us"), the provider of Biz CommandOS (the "Service"). By creating an account, signing in, or otherwise using the Service, you agree to these Terms.
1. The Service
Biz CommandOS is an AI-assisted operating system for small businesses that provides CRM, project, task, meeting, finance, and AI-powered assistance features. We may add, change, or remove features at any time to improve the Service.
2. Eligibility & account
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. You are responsible for keeping your credentials confidential and for all activity under your account. You agree to provide accurate information and keep it up to date.
3. Acceptable use
You agree not to misuse the Service. In particular, you will not:
- use the Service for anything unlawful, fraudulent, deceptive, or abusive;
- send spam or unsolicited communications;
- infringe anyone's intellectual property, privacy, or other rights;
- upload malware, probe, scan, scrape, reverse engineer, or otherwise interfere with the security or integrity of the Service;
- circumvent usage limits, resell, or redistribute the Service without our written permission.
4. AI features
The Service includes generative AI features (e.g. an AI Chief of Staff, meeting analysis, website enrichment, business-card extraction). You are responsible for the prompts and content you submit, for how you use AI outputs, for verifying their accuracy, and for ensuring you have the rights to any content you provide.
You must not use the AI features to generate illegal content, deepfakes, hate speech, malware, targeted harassment, or attempts to jailbreak or evade safety controls. We may filter, refuse, or remove outputs and may suspend accounts for repeated or serious violations. Rights holders may contact us at legal@bizcommandos.com to report claimed infringement, and repeat infringers will have their accounts terminated.
Accuracy disclosure. AI outputs may be inaccurate, incomplete, or out of date and are not a substitute for professional legal, financial, tax, medical, or other regulated advice. Do not rely on them for such purposes without qualified human review.
5. Your content
You retain ownership of the content you submit to the Service ("Your Content"). You grant LeadsGPS a limited, worldwide, non-exclusive licence to host, store, transmit, and process Your Content solely to provide, secure, and improve the Service. You are responsible for having the rights to submit Your Content and for its lawfulness.
6. Intellectual property
LeadsGPS and its licensors own all rights in and to the Service, including the software, branding, documentation, and any improvements. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service under your chosen plan.
You may not copy, modify, create derivative works of, decompile, or reverse engineer the Service except to the extent that applicable law expressly permits.
7. Payments & subscriptions
Paid plans are billed on the interval shown at checkout (for example, monthly or annual) and renew automatically until cancelled. You can cancel at any time from your billing settings; access continues until the end of the current paid period.
Our order process is conducted by our online reseller Paddle.com. Paddle is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Checkout Buyer Terms and by our Refund Policy.
8. Service availability
We work to keep the Service reliable, but we do not guarantee it will be uninterrupted, error-free, or free from loss or corruption. We may perform maintenance, updates, or make changes that temporarily affect availability.
9. Suspension & termination
We may suspend or terminate your access if you materially breach these Terms, fail to pay, present a security or fraud risk, or repeatedly or seriously violate our policies. You may stop using the Service at any time. On termination, your right to use the Service ends; we may delete Your Content after a reasonable retention window.
10. Warranties & liability
Except as expressly stated, the Service is provided "as is" and "as available". LeadsGPS disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
To the maximum extent permitted by law, LeadsGPS's aggregate liability arising out of or relating to these Terms or the Service will not exceed the fees you paid to Paddle for the Service in the twelve (12) months before the event giving rise to the claim. LeadsGPS will not be liable for indirect, consequential, incidental, special, or punitive damages, or for lost profits, revenue, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law (such as for fraud, death, or personal injury caused by negligence).
11. Indemnity
You will indemnify and hold LeadsGPS harmless from claims, damages, and reasonable costs (including legal fees) arising from Your Content, your use of the Service in breach of these Terms, or your violation of law or third-party rights.
12. Governing law & disputes
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws principles. The state and federal courts located in Florida have exclusive jurisdiction over any dispute arising from these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction.
13. Changes
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, in-app or by email). Continued use of the Service after the changes take effect constitutes acceptance.
14. Assignment & force majeure
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
